2. "Services" means the AI powered receptionist, automation tools, website, platform, and any related features provided by the Company.
3. "User," "Client," or "you" means the individual or business entity accessing or using the Services.
4. "Account" means the unique profile created by a user to access and use the Services.
5. "Content" means any information, data, text, audio, video, or other material provided through the services, whether by the Company or the User.
6. "Subscription" means the paid plan or trial plan that allows a User to access the Services.
7. "Third-Party Services" means services, products, or software that are not owned by the Company but may integrate or interact with the Services.
To use the Services, you must be at least 18 years old and legally able to enter into binding contracts. By creating an account, you confirm that you meet these requirements.
You are responsible for providing accurate, current, and complete information when registering for an Account and for keeping that information up-to-date.
You are responsible for maintaining the confidentiality of your Account login credentials and for all activity that occurs under your Account.
You agree to notify us immediately if you suspect any unauthorized access to or use of your Account.
Accounts may not be shared between multiple businesses or individuals unless expressly permitted in writing by the Company.
We reserve the right to suspend or terminate your Account if you violate these Terms or use the Services in a way that could harm us, other Users, or third parties.
You agree to use the Services only for lawful business purposes and in compliance with these Terms.
You may not use the Services in the following ways:
a. To engage in illegal, fraudulent, or abusive activities.
b. To send spam, unsolicited messages, or harassing communications.
c. To attempt to gain unauthorized access to the platform, other Users' accounts, or our systems.
d. To reverse-engineer, copy, or resell any part of the Services without our written consent.
If you operate in industries subject to special regulations (such as healthcare), you are solely responsible for ensuring the use of the Services complies with those requirements.
We reserve the right to monitor usage to ensure compliance and to suspend or terminate access if misuse is detected.
Subscriptions - Access to the Services requires an active paid subscription, unless otherwise stated for trial periods. Subscription plans and pricing are listed on our website and may be updated from time-to-time.
Setup Fee - A one-time, non-refundable setup fee is required when beginning service. This covers initial configuration, onboarding, and customization of the Services to your business.
Billing Cycle - Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing cycle unless canceled.
Payment Method - You authorize us (through payment method processor) to charge your designated payment method for all applicable fees. You are responsible for ensuring your payment information is accurate and up-to-date.
Failed Payments - If payment cannot be processed, we may suspend or terminate your Account until payment is received.
Refunds - All payments are non-refundable except where required by law. Trial periods, are provided to allow you to evaluate the Services before committing.
Changes to Pricing - We may change our subscription fees with prior notice. Any changes will take effect at the start of your next billing cycle.
Cancellation Policy - You may cancel your subscription at any time through the Customer Portal or by contacting us directly. Cancellations must be made prior to your next billing date to avoid further charges. No partial or prorated refunds are provided for unused time within a billing cycle.
Privacy Policy - Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you agree to the terms of our Privacy Policy.
Data Ownership - You retain all rights to the customer data and content you upload into the Services. We do not claim ownership of your business data.
Use of Data - You grant us a limited license to process and store your data solely for the purpose of providing Services. We will never sell your data to third parties.
Third-Party Services - Some features of the Services may integrate with third-party providers (such as phone systems, email platforms, or calendars). We are not responsible for how those third parties handle or secure your data, and you are responsible for reviewing their policies.
HIPAA/Regulated Data - If you operate in a regulated industry, you are solely responsible for ensuring compliance with applicable regulations. Unless expressly stated in writing, our Services are not intended to store or process protected health information (PHI).
Security - We take reasonable technical and organizational measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security of data transmitted or stored through the Services.
Ownership - All content, features, designs, logos, trademarks, service marks, and software associated with the Services are the exclusive property of GulfPoint Assistance, LLC or its licensors. These rights are protected under copyright, trademark, and other intellectual property laws.
License to You - We grant you a limited, non-exclusive, non-transferrable, revocable license to access and use the Services for your internal business purposes only, in accordance with these terms.
Restrictions - You may not copy, modify, reproduce, distribute, sell, or attempt to reverse engineer or decompile any part of the software, without our express written permission.
User Content - You retain ownership of the data, content, or materials you input into the Services. By using the Services, you grant us a limited license to host, process, and transmit such content solely for the purpose of operating and improving the services.
Feedback - Any suggestions, ideas, or feedback you provide may be used by us without obligation to compensate you, and you hereby grant us an unrestricted license to use such feedback for any purpose.
The Services are provided on an "as-is" and "as available" basis. We make no warranties or guarantees that the Services will be uninterrupted, error-free, or free from security vulnerabilities.
To the maximum extent permitted by law, GulfPoint Assistance, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Services.
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.
You acknowledge that the AI-powered nature of the Services means some communications may be imperfect or require human oversight. We are not liable for errors, missed communications, or outcomes resulting from reliance solely on automated responses.
Nothing in these Terms shall limit liability where such limitation is prohibited by law (such as liability for fraud, intentional misconduct, or death/personal injury caused by negligence).
By You - You may cancel your Account and subscription at any time through our Customer Portal or by contacting us. Cancellation must occur before your next billing date to avoid additional charges.
a. We will try to work with you to resolve issues before the outright termination of your account.
By Us - We may suspend or terminate your account immediately, without prior notice, if you:
a. Violate these Terns
b. Fail to pay subscription or setup fees when due
c. Misuse the Services in a way that could harm us, other Users, or third parties
Effect of Termination - Upon termination, your right to access and use the Services will immediately cease. We may retain data for a limited period for legal, backup, or business continuity purposes, after which it may be permanently deleted.
No Refunds - Termination does not entitle you to a refund of any fees already paid, except where required by law.
Survival - Provisions regarding intellectual property, limitation of liability, indemnification, and governing law will survive the termination of your account.
We may update or modify these terms on occasion to reflect changes in our business practices, legal requirements, or the Services we provide.
When changes are made, we will post the revised terms on our website and update the "Last Updated" date at the top of this page.
In certain cases, we may also provide direct notice (such as an email or in-app notification) if the changes are material.
By continuing to access or use the Services after the updated Terms are posted, you agree to be bound by the revised terms.
If you do not agree with the updated Terms, you must stop using the Services and cancel your Account.
These Terms and any dispute arising out of or relating to the Services shall be governed and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Escambia County, Florida.
By using the Services, you consent to the personal jurisdiction of such courts and waive any objection to venue in those courts.
